We are looking for a highly skilled and experienced Corporate Lawyer to join our dynamic team at UnitedLayer. As a Corporate Lawyer specializing in litigation and contract drafting, you will play a vital role in providing comprehensive legal guidance and support to our IT company.

Key Responsibilities

  • Contract Drafting and Review: Draft, review, and negotiate a wide range of contracts and agreements, such as NDAs, licensing agreements, service contracts, and vendor agreements. Ensure compliance with relevant laws and regulations while safeguarding the company’s interests.
  • Legal Compliance: Stay up to date with industry-specific regulations, laws, and best practices, and provide proactive advice to the management team on compliance matters. Develop and implement internal policies and procedures to mitigate legal risks.
  • Risk Assessment: Assess legal risks associated with various business activities, initiatives, and transactions. Provide recommendations to management to minimize exposure to legal liabilities.
  • Intellectual Property Protection: Advise on intellectual property matters, including trademarks, copyrights, and patents. Assist in the development and execution of intellectual property strategies.
  • Corporate Governance: Assist in corporate governance matters, including drafting corporate resolutions, maintaining corporate records, and ensuring compliance with corporate formalities.
  • Litigation Management: Handle all aspects of litigation for the company, including assessing legal risks, developing strategies, and preparing case evidence for the representing authority to present in court proceedings. Collaborate with external counsel.
  • Legal Research and Analysis: Conduct in-depth legal research and analysis on complex legal issues impacting the IT industry. Present findings in a clear and concise manner to key stakeholders.
  • Collaboration and Communication: Collaborate with cross-functional teams, including executives, department heads, and external stakeholders, to provide timely and accurate legal advice. Effectively communicate legal concepts and implications to non-legal professionals.
  • Litigation Support / Preparing the Case Study / Dispute Resolution (US Law): Provide litigation support, prepare case studies, and assist in dispute resolution, adhering to U.S. law.
  • Contract Negotiation and Drafting: Assess, draft, and negotiate various contracts and agreements, such as vendor contracts, client agreements, partnership agreements, Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), and licensing agreements. Ensure compliance with legal standards and safeguard the company’s interests.
  • Trademark and Patent Management: Oversee the company’s trademark and patent portfolios. Conduct thorough trademark searches, submit trademark applications, and evaluate the patentability of inventions. Manage patent filings and actively protect intellectual property rights to preserve the company’s innovations and brands.
  • Compliance and Regulatory Oversight: Stay updated on pertinent laws, regulations, and industry guidelines relevant to the IT sector. Provide counsel on compliance matters and devise strategies to ensure adherence to legal standards, including data privacy regulations and cybersecurity protocols.
  • Legal Risk Assessment: Evaluate legal risks associated with business activities, products, and initiatives. Collaborate with cross-functional teams to identify potential legal challenges and implement preemptive measures to mitigate risks effectively.
  • Legal Support and Training: Offer legal advice and assistance to internal stakeholders, including senior management, sales, marketing, and product development teams. Conduct training sessions and workshops to enhance legal awareness and promote a culture of compliance across the organization.

Qualifications/ Required Skillset

  • Minimum of 3 years of experience as a corporate lawyer, with a focus on litigation and contract drafting. Experience in the IT industry or technology-related legal matters is highly desirable.
  • Proven track record in preparing case studies and organizing the required evidence for managing complex litigation cases and negotiations.
  • Strong knowledge of contract law, intellectual property law, data protection, and relevant industry regulations.
  • Excellent drafting and negotiation skills with keen attention to detail. Ability to work independently, prioritize tasks, and meet deadlines in a fast-paced environment.
  • Strong analytical and problem-solving abilities, with a solution-oriented approach.
  • Exceptional communication and interpersonal skills, with the ability to build effective relationships with stakeholders at all levels.
  • High ethical standards and commitment to maintaining confidentiality.
